DIGITAL DESIGN CONTRACT
This Digital Design Contract (the "Agreement") is entered into as of [Date] by and between:

1. PROJECT SCOPE
Designer agrees to provide digital design services as outlined in the agreed upon Scope of Work. The scope includes:

- Project Pauses & Rescheduling: If Client fails to provide necessary feedback or materials within 10 business days, Designer reserves the right to pause the project. If the delay extends beyond 30 days, the project may be subject to a $250 rebooking fee to resume work based on Designer’s availability.
4. INTELLECTUAL PROPERTY
- Upon full payment, Client will own the final design.
- Designer retains the right to showcase the work in portfolios and marketing materials.
- Any third-party assets (fonts, stock images, etc.) remain the property of their respective owners.
5. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of any proprietary information shared during the project.
6. REVISIONS POLICY
- Client Responsibilities: Client agrees to review all submitted work in a timely manner and provide consolidated feedback within the agreed-upon timeframes.
- Designer Responsibilities: Designer will incorporate requested changes as long as they fall within the scope of the agreed revisions policy.
- Client is entitled to two (2) revision rounds, each consisting of a consolidated set of requested changes submitted in writing. These revisions apply only to minor changes (e.g., color adjustments, small text modifications) and must be within the original project scope.
- Any additional revisions or major structural changes will be billed separately.
- Major changes include layout redesign, new pages, or additional functionality.
7. CLIENT DELAYS
- Client Responsibilities: Client agrees to maintain open communication and provide timely feedback as requested.
- If Client fails to provide required feedback or materials within 10 business days, Designer reserves the right to pause the project.
- If delays exceed 30 days, Designer may charge a $250 rebooking fee or reschedule the project based on availability.
- If a project is inactive for 60 days or more, the contract may be terminated with no refund of prior payments.
8. POST-LAUNCH SUPPORT
- Designer will provide six (6) months of minor bug fixes and updates, covering:
- Fixing broken links or images
- Adjusting minor layout inconsistencies
- Updating small pieces of content (e.g., contact info)
- Client Responsibilities: Client agrees to report any bugs or issues within the six-month support period in a timely manner.
- Excluded from support:
- Adding new features or pages
- Major redesigns
- SEO services
- Extended support beyond six months is available at [Support Rate] per month.
9. REFUND POLICY
- The 50% initial deposit is non-refundable.
- Designer will work with Client to ensure satisfaction before final handoff.
- Refunds are not provided after work has commenced.
10. DISPUTE RESOLUTION
- In the event of a dispute, both parties agree to first seek resolution through mediation.
- If mediation fails, disputes will be resolved through binding arbitration in the state of New York.
- Each party will bear its own costs of dispute resolution.
11. TERMINATION CLAUSE
- Either party may terminate this Agreement with [X] days' written notice.
- If terminated by Client, all completed work remains the property of Designer until full payment is received.
- If terminated by Designer, Client will receive a refund minus work already completed.
